the Bonds and Federal Loans (each as defined in the Second Amended and Restated Bond Resolutions), (v) the Additional Units Non-PPA Power Sales Contracts, the Additional Units PPA Power Sales Contracts and the Additional Units PPA2 Power Sales Contracts (each as defined in the Second Amended and Restated Bond Resolutions), each between MEAG Power and certain of the defendant political subdivisions, (vi) certain power purchase agreements between MEAG Power and certain of the defendants to this action, (vii) certain Federal Loans, Loan Guarantee Agreements (as defined in the Second Amended and Restated Bond Resolutions) and Transaction Documents (as defined in the Loan Guarantee Agreements) to accommodate the Federal Loan Option contemplated by the Second Amended and Restated Bond Resolutions and relating to the Bonds and security therefor and (viii) certain transactions related to such documents, and (b) confirmation that (i) the judgment entered on November 18, 2008 (the ‘2008 Validation Judgment’) by the Superior Court of Fulton County, Georgia in Civil Action File No. 2008CV159297 is in full force and effect, except as supplemented by the hereinafter defined 2010 Validation Judgment and as further supplemented in this proceeding, (ii) the judgment entered on January 19, 2010 (the ‘2010 Validation Judgment’) by the Superior Court of Fulton County, Georgia in Civil Action File No. 2009CV179503 is in full force and effect, except as supplemented in this proceeding, (iii) the respective Bonds issued in accordance with the 2008 Validation Judgment, as supplemented by the 2010 Validation Judgment, and the respective security therefor, remain confirmed and validated, and (iii) the respective Bonds to be issued in accordance with the 2008 Validation portion of any outstanding subordinated bonds, or all or any portion of SPV J’s DOE Guaranteed Loan, and (c) (1) to finance or refinance the Costs of Acquisition and Construction and the Financing Costs (as each such term is defined in the Second Amended and Restated PPA-2 Bond Resolution) of MEAG Power’s PPA-2 Project and (2) to refund all or any portion of any Outstanding Bonds (as that term is defined in the Second Amended and Restated PPA-2 Bond Resolution), all or any portion of any outstanding subordinated bonds, or all or any portion of SPV P’s DOE Guaranteed Loan.
